RENEWABLE POWER PURCHASE & SALE AGREEMENTS

Represented Capital Power Inc. to secure predictable and stable long-term cash flows by negotiating the following:

  • 25-year virtual renewable energy and environmental attributes purchase and sale agreement with Telus Communications for Capital Power’s Strathmore Solar Facility.

  • 15-year virtual renewable energy and environmental attributes purchase and sale agreement with Shaw Communications for a portion of Capital Power’s Clydesdale Solar Facility.

  • 15-year virtual renewable energy and environmental attributes purchase and sale agreement with Labatt Breweries of Canada for a portion of Capital Power’s Clydesdale Solar Facility.

  • 15-year direct sales agreement for renewable energy and environmental attributes with Dow Chemical Canada for a portion of Capital Power’s Whitla Wind 2 Facility.

  • 15-year virtual renewable energy and environmental attributes purchase and sale agreement with Saputo Inc. for a portion of Capital Power’s Halkirk 2 Wind Facility.

  • 10-year virtual renewable energy and environmental attributes purchase and sale agreement with MEGlobal Canada for a portion of Capital Power’s Whitla Wind 1 Facility.

PHYSICAL AND FINANCIAL ENERGY TRANSACTIONS

  • Represented Capital Power in completing a clean electricity and renewable energy certificate retail supply agreement with the Government of Canada, to meet the power needs of all Government of Canada buildings in Alberta.

  • Represented Capital Power in completing many agreements for over-the-counter electricity and natural gas physical forward contracts and financial swaps, under ISDA, EEI, WSPP, NAESB and GasEDI master agreements.

  • Represented EPCOR Utilities Inc. in completing electricity procurement agreements and financial swaps to support its regulated and unregulated business.

  • Represented Dynasty Power Inc. in negotiating ISDA Master Agreements and EEI Master Power Purchase & Sale Agreements.

  • Represented Triolith Energy Fund, LP in negotiating ISDA Master Agreements and EEI Master Power Purchase & Sale Agreements.

ENVIRONMENTAL COMMODITY TRANSACTIONS

  • Represented Capital Power in completing many agreements for the purchase and sale of emission offsets, renewable energy certificates and carbon credits in various North American markets.

  • Represented ICP CanCo Ltd. in completing Alberta emission offset/credit purchase and sale agreements with various counterparties.

DERIVATIVES REGULATORY COMPLIANCE

  • Advised Capital Power in connection with Canadian derivatives regulatory compliance, including establishing compliance policies, procedures, systems and controls.

  • Advised Dynasty Power Inc. with respect to Canadian derivatives regulatory compliance matters.

  • Established and chair the Canadian Energy Derivatives Working Group.

  • Serve as a member of the Alberta Securities Commission’s Derivatives Advisory Committee.

  • Served on drafting committees of the International Energy Credit Association and developed industry-standard derivatives regulatory compliance documentation.
